The problem has been solved :)
Now my IIS 5.0 box is being cached by squid very well.
My squid config was ok. Now you are asking "What the hell was wrong then?"
A little but very very very important thing for a cache server....
a bad time zone in the NT box.
That made squid think the content was expired.
